These Footage License Terms (Terms) are a binding agreement between 3JANE TV (Licensor, we, us) and the person or organization that completes a purchase on the 3JANE TV website (Licensee, you). By checking the licensing terms box on the cart page and completing your order (including under approved payment terms), you agree to these Terms for that order.
These Terms apply to self-serve purchases on the website. If you and Licensor agree to terms in a separate written agreement, that agreement prevails over these Terms where they conflict.
1. Definitions
Licensed Material means the specific video master file(s) identified in your order (by product title, order number, and line item).
Order means your completed purchase on the 3JANE TV website, including the license type(s) selected and the price paid.
Digital License means the right to use Licensed Material on Digital Platforms, worldwide, during the Publication Window, as described in Section 4.
Broadcast License means the optional right to use Licensed Material in Broadcast during the Broadcast Window, as described in Section 5. It is an add-on for linear television use when you need it in addition to a Digital License.
Digital Platforms means:
- Your owned or operated social media accounts (e.g. X, Instagram, TikTok, Facebook, YouTube, Telegram); and
- Your owned or operated websites and news applications, including article embeds and proprietary video content management systems.
Publication Window means twenty-one (21) days beginning on the License Start Date (Section 9).
Broadcast means inclusion of Licensed Material in linear television programming on a Named Channel, and Simulcast of that same live linear feed on your owned website or app at the same time. Broadcast includes voice-over field packages and similar editorial segments; an anchor at a news desk is not required.
Named Channel means the single linear television channel you identify at purchase for a Broadcast License. Sister stations, syndication, and use on any other channel are not included.
Simulcast means the simultaneous streaming of the same live linear feed of the Named Channel on your owned website or app. On-demand clips, article embeds, catch-up or on-demand replay of a newscast, social uploads, podcasts, and video-on-demand are not Simulcast.
Broadcast Window means the period during which your Digital License for the same Licensed Material is active — from the License Start Date through the end of the Publication Window (Section 9).
Editorial Use means use in connection with news reporting, commentary, or matters of public interest. It excludes advertising, political campaign material, fictional entertainment, and merchandising unless separately agreed in writing.
Publication means making Licensed Material available to the public on a Digital Platform or in Broadcast, including a new post, upload, embed, or linear airing. Reposting, boosting, quoting, sharing, or otherwise amplifying an existing post first published during the Publication Window is not a new Publication.
2. License types and your order
Each order specifies which license(s) you purchase:

You may purchase a Digital License alone, or a Digital License and a Broadcast License together. You may purchase a Broadcast License later for the same Licensed Material only while an active Digital License for that material exists (Section 5.1).
Your order (license type, clip, price, Named Channel if applicable) forms the Commercial Terms for that purchase and is incorporated into this agreement.
3. General grant
Subject to these Terms and Section 9 (including approved Net 30 or other deferred payment terms), Licensor grants you a non-exclusive, non-transferable, non-sublicensable license to use the Licensed Material worldwide, only as expressly stated in the license type(s) you purchased.
Your license rights begin on the License Start Date (Section 9). For approved deferred payment terms, rights may begin when master files are delivered even if payment is due later; late or failed payment may suspend or end those rights until resolved.
Unless separately agreed in writing, all licenses are non-exclusive. Licensor may license the same Licensed Material to others.
No ownership or copyright in the Licensed Material passes to you. All rights not expressly granted are reserved by Licensor.
Credit: Credit is not required when you have paid the applicable license fee. If you choose to credit Licensor, use exactly: 3JANE [ TV ]
Attribution: You must not represent, imply, or suggest that you or your staff created, filmed, or exclusively own the Licensed Material.
4. Digital License
4.1 Scope
During the Publication Window, you may:
- Publish Licensed Material on any Digital Platform, worldwide, in as many Publications as you wish;
- Edit or trim Licensed Material for editorial purposes (e.g. length, captions, graphics, voice-over).
4.2 After the Publication Window
Publications first made during the Publication Window may remain online. You are not required to remove them.
After the Publication Window ends, you may not make new Publications of the Licensed Material without purchasing a new Digital License, including:
- First publication on a new Digital Platform after the window ends; or
- A new post, upload, embed, or article that materially incorporates the Licensed Material (including re-edited versions with new captions or graphics).
You may without a new license repost, boost, quote, share, or amplify a post first published during the Publication Window.
For extended or archival rights, see Section 14.
4.3 What Digital does not cover
A Digital License does not authorize linear television Broadcast (Section 5), documentary or long-form production (Section 6), or any use outside Editorial Use (Section 6).
5. Broadcast License (optional add-on)
5.1 Active Digital License required
A Broadcast License requires a Digital License for the same Licensed Material. You may purchase both in a single order, or add Broadcast later only while a Digital License for that material from an earlier order is still active.
The Broadcast add-on covers linear television (and Simulcast as defined above). Online and social use — including clips cut from a broadcast for social media, website embeds, or on-demand video — requires a Digital License.
Catch-up or on-demand replay of a newscast on your website or app — including the full program that aired on your Named Channel — is online use under your Digital License, not Broadcast.
5.2 Scope
During the Broadcast Window, on the Named Channel identified in your order, you may:
- Air Licensed Material in linear television programming an unlimited number of times; and
- Simulcast that same live linear feed on your owned website or app at the same time.
5.3 Limits and additional purchases
Broadcast grants linear television and Simulcast only. All online and social use is governed by your Digital License (Section 4), not this Broadcast License.
A Broadcast License does not include:
- Any channel other than the Named Channel;
- Sister stations, affiliates, or syndication;
- First-time linear television or Simulcast use after the Publication Window ends.
You must specify the Named Channel at purchase. Self-serve extensions:
- Different Named Channel (during your active Digital License): purchase another Broadcast License for that channel.
- Additional broadcast use after the Publication Window ends: purchase a new Digital License and a new Broadcast License whenever you need another 21-day airing window.
- Additional online use of broadcast footage after the Publication Window ends (including clips cut from a broadcast for social media, website embeds, or on-demand video): purchase a new Digital License.
5.4 After the Publication Window
When the Publication Window ends, all Broadcast use must cease, including re-airing on your Named Channel and Simulcast.
After the Publication Window ends, you may not use Licensed Material in Broadcast without purchasing a new Digital License and a new Broadcast License, including:
- A first-time linear airing after the window ends (including if you purchased a Broadcast License but did not air during the window);
- A re-air on your Named Channel of a segment or package that first aired during the window; or
- A materially re-edited segment or package aired on your Named Channel that materially incorporates the Licensed Material (including re-edited versions with new voice-over, captions, or graphics).
Online publications first made during the Publication Window may remain available after the window ends (Section 4.2). That does not extend Broadcast rights.
To use Licensed Material in Broadcast again after the Publication Window ends, purchase a new Digital License and a new Broadcast License for another 21-day window (Section 5.3). For extended or archival rights, see Section 14.
6. Restrictions (all licenses)
You may not, without Licensor’s prior written consent:
- Resell, sublicense, redistribute, or otherwise make Licensed Material available to third parties for their independent use — including offering or supplying it as stock footage or raw material for others to license or publish;
- Use Licensed Material for advertising, political campaigns, fictional productions, or commercial promotion unrelated to editorial news;
- Use Licensed Material in a documentary, feature film, or long-form production;
- Use Licensed Material to train or develop artificial intelligence or machine learning systems.
You must not use Licensed Material in a defamatory, unlawful, or misleading manner.
7. Third-party rights and disclaimer
Licensor licenses its copyright in the video recording of the Licensed Material. Licensor does not warrant that model releases, property releases, or other clearances have been obtained for people, places, trademarks, logos, music, or other elements appearing in the footage, unless explicitly stated for a specific clip.
Licensor uses reasonable efforts to provide accurate titles, descriptions, and metadata but does not warrant their completeness or accuracy.
You are responsible for determining whether additional permissions or clearances are required for your intended use and for obtaining them.
8. Delivery and download access
Master files are delivered electronically after checkout (or after approval of agreed payment terms) via secure download links in your customer account.
Download access is available while your Digital License is active. Licensor may use time-limited download links and may issue new links on request during that period.
Watermarked previews on the website and on Licensor’s public channels are not licensed for publication or broadcast.
9. Payment
License Start Date means:
- For standard checkout: the date payment is received in full; or
- For approved Net 30 or other deferred payment terms: the date master files are delivered or the date agreed in your account terms, whichever Licensor records for the order.
Fees are as shown at checkout. Applicable taxes are your responsibility unless stated otherwise.
Refunds: License fees are generally non-refundable once master files have been delivered or download access has been granted, except where required by law or at Licensor’s sole discretion.
Late payment under agreed Net terms may result in suspension of license rights until paid.
10. Unauthorized use and remedies
Use of Licensed Material outside the scope of your purchased license(s), or after the applicable window has expired, is unauthorized and may constitute copyright infringement.
For unauthorized use, Licensor may invoice you for an amount greater than the applicable list price for the Licensed Material and license type(s) that use required, and may pursue any other remedies available at law.
Licensor may also seek injunctive relief and other damages. Nothing in these Terms limits Licensor’s rights to pursue clear cases of infringement.
11. Warranties and limitation of liability
Licensor warrants that, to the best of its knowledge, it has the right to grant the licenses in these Terms for the Licensed Material as delivered.
Except as stated above, Licensor provides Licensed Material “as is.” Licensor disclaims all other warranties, express or implied, including merchantability and fitness for a particular purpose.
To the maximum extent permitted by law, Licensor’s total liability for any claim arising from an order shall not exceed the fees you paid to Licensor for that Licensed Material in that order (or, if multiple license types, the total fees paid for that material in that order).
Licensor is not liable for indirect, incidental, special, or consequential damages.
12. Your indemnity
You will defend and indemnify Licensor against claims arising from:
- Your use of Licensed Material outside the scope of your license(s);
- Your breach of these Terms; or
- Your failure to obtain required third-party clearances,
except to the extent caused by Licensor’s breach of Section 11.
13. Termination
If you breach these Terms, Licensor may terminate the affected license(s). Upon termination, you must stop new uses and new Publications. Termination does not require removal of Publications first made during an authorized Publication Window while the license was valid, unless required by law or by a separate agreement.
Sections that by nature should survive (payment, ownership, restrictions, liability, indemnity, governing law) survive termination.
14. Separate agreements
Licensor may enter into separate written agreements with you for uses not covered by self-serve purchase, including extended or archival rights for Digital use, Broadcast use, or both (e.g. one-year, five-year, or perpetual rights), as well as exclusive rights, documentary licensing, or agency distribution. Those agreements override these Terms for the subject matter they cover. Contact Licensor to discuss (Section 17).
15. Changes to these Terms
Licensor may update these Terms on the website. Changes apply to future orders only. Your existing orders remain governed by the Terms in effect when you purchased, as recorded with your order.
16. General
Entire agreement: These Terms and your order constitute the entire agreement for self-serve purchases.
Severability: If any provision is unenforceable, the remainder stays in effect.
No waiver: Failure to enforce a provision is not a waiver.
Assignment: You may not assign your rights under these Terms without Licensor’s written consent.
Governing law: These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. The courts of the Province of Quebec have exclusive jurisdiction, subject to mandatory consumer protection rules if applicable.
Licensee identity: The Licensee is the organization or person identified on the order. The individual placing the order represents that they have authority to bind that organization.
